Acquisition of 30 Percent of Elisra's Shares by Israel Aircraft Industries' Subsidiary Elta Systems Ltd. was completed

Ben-Gurion International Airport, Israel - Mr. Moshe Keret - Israel Aircraft Industries (IAI)'s President & CEO and Chairman of the Board of Directors of Elta Systems Ltd., a wholly-owned subsidiary of IAI, and Mr. Danny Biran - President of Koor Industries and Chairman of Elisra Electronic Systems Ltd., announced today (November 27, 2002) the completion of the acquisition of 30% of Elisra's shares by Elta Systems, based on a company value of $330 million. Koor Industries received $100 million in cash.







The agreement received the support and encouragement of the Israel Ministry of Defense, as well as the approval of the Government of Israel's Antitrust Authority.

Mr. Moshe Keret - IAI's President & CEO and Chairman of the Board of Directors of Elta Systems said today: "We are satisfied with the completion of this acquisition, and are convinced that this investment will prove to be a catalyst for increased marketing and technological strength, which will benefit both the customers and the companies, while at the same time safeguarding the centers of excellence in each of the companies. Mr. Keret also said that "Cooperation between the two companies will result in the enhancement of their ability to compete and will contribute to IAI in international markets."

 

Mr. Danny Biran, President of Koor Industries and Chairman of Elisra said: "We are very pleased with the completion of the transaction, and are convinced that the cooperation between Elisra and Elta will ensure both long term growth and prosperity for the companies."

 

Mr. Israel Livnat, President of Elta Systems said: "At the time I joined Elta I presented a paper explaining why taking a step like this one is important. I believe in the added value of this acquisition. This is an important step towards the consolidation of Israel's defense industries. The decisions involved in this acquisition were taken quickly, and reflected the determination and persistence of all parties."
